CALL TO ORDER:
President Lauren Dummer called the meeting to order at 10:42 am.

WELCOME:
Spring Creek Country Club Captain Beverly Salas welcomed the WNHGA Board of Directors, Delegates and additional club members to Spring Creek for the Annual Meeting. She introduced Lauren Dummer, WNHGA President, and turned the meeting over to her. Lauren thanked Beverly and the Spring Creek Mi-Tee Niners for their hospitality in hosting this event. She also thanked the Event Manager, Jenny Flippens for working with her in setting up the event and Chef Robert and staff for preparing such an amazing breakfast. She welcomed the Delegates, Captains and Club Officers as well as additional members of the Association in attendance.

She acknowledged Past Presidents in attendance: Judi Phillips, Vearl LaBerge and Stacy Brown. She also introduced Past Directors Joan Cannon of Sequoyah Country Club, Bev Poff of Oakdale Golf and Country Club, Janie Quicke of Saratoga Country Club, Regina Galano of Stonebrae Country Club and Heidi McCusker of Spring Creek Country Club.

Lauren announced that each Delegate has an agenda for today’s meeting. This meeting has been convened in accordance with the Bylaws, Article 5, Section 3b Annual Meeting: On the first Friday in December in each year the Delegates shall hold an Annual Meeting at such place and hour as the board shall designate. The purpose of this meeting shall be to consider and act upon the following matters: Each Director shall present a report pertaining to her activities during the past year; the election of Directors for the ensuing year; the consideration of and action upon any business or matters relating to the Board.

Joan Cannon of Seqouyah Country Club served as the Parliamentarian for the meeting.

ROLL CALL OF CLUBS:
Substitute Secretary, Mary-Kevin Willey called the roll. There were 25 clubs in attendance. The Delegates present form a majority of the Clubs and constitutes a Quorum for the transaction of business.

MINUTES:
As this is the Delegates’ meeting, only Delegates may make a motion, second a motion or vote. All members in attendance are welcome to participate in discussions. Kelly Drew of San Jose Country Club moved to approve the 2020 Annual Meeting minutes. Linda Salmon of Lincoln Hills Golf Club seconded the motion. The motion carried.

TREASURER’S REPORT:
Susan Hammon reported that we have a total WNHGA membership of 2005 members from 37 clubs.

There is a billing change for next year. NCGA will directly bill each 9 hole group $75, for a club membership fee. You need to pay this amount with your GHIN fees. When your group sends the WNHGA dues to the Treasurer you need to subtract $36 from the total due. This is how WNHGA will reimburse you group for the NCGA club membership. NCGA will credit your group 1 GHIN fee ($39). Individual 9-hole groups will determine how they will apply this credit.

This year WNHGA issued $10,350 for the following gift certificates:

CAPTAINS’ FOLDERS:
Lauren called attention to the contents of the Captains’ Folders. Included are the 2022 Annual Meeting Agenda, a list of WNHGA Events for 2022 and the Revised Rotation Schedule. In addition, each club received a complete reprint of the WNHGA Captain’s Manual because of significant revisions made due to recent changes in USGA Rules of Handicapping and NCGA procedures. In the folder, there is also a Roster Page that has club and officer information. Please check, make corrections and return today or as soon as possible. Registration of New Members, Pin Order and Request for a Visit forms were sent to each Captain prior to the meeting.

DIRECTOR’S REPORTS:
Article 5 Section 3b1 of the WNHGA Bylaws requires that each Director present a report pertaining to her activities during the year. All reports have been filed with the President and are available upon request. Each Director presented her annual report and they are attached to the official minutes. During Judi Phillips’ report about the Corena Green Golf Classic for Junior Girls, she invited the Delegates to come forward and present their donations for 2022. She collected $9307, plus an additional $500 that was previously donated.

ELECTION OF 2021 DIRECTORS:
In accordance with WNHGA Bylaws, Article 6, Sections 1 and 2: The number of directors of this Association shall not be less than nine or more than twelve, until changed by the Board of Directors and approved by the members. At least two directors and no more than three directors, shall be elected from each geographical area. Directors shall be elected at each Annual Meeting of Delegates, to hold office for a term of two years. Each Director shall hold office until the expiration of the terms of which elected, and until a successor has been elected and qualified.

Kathy Magrino was appointed to head the nominating committee. Members of her committee were:
Mary McGuire – Lake of the Pines (River Valley), Bonnie Bamburg – San Jose Country Club (Peninsula), Kristin Villyard – Discovery Bay Country Club (East Bay) and Kirstie Boyette – Del Rio Golf and Country Club (Central Valley). Five Directors are returning to serve the second year of her term: Lauren Dummer (RV) Lake of the Pines Golf Club, Judi Phillips (CV) Oakdale Golf and Country Club, Vearl LaBerge (RV) Cold Springs Golf and Country Club, Alyce Stanwood (RV) Lincoln Hills Golf Club and Mary-Kevin Willey (RV) Valley Hi Country Club. Two current Directors are seeking a second term: Susan Hammon (CV) Sequoia Woods Country Club and Mayet Reina (RV) El Macero Country Club. One appointed Director, Nancy Bircher – (EB) Crow Canyon Country Club and one new nominee, Melissa Krebill – Woodbridge Golf and Country Club (CV) are candidates for first term on the Board.

Directors completing their commitments and not returning are Shelly Hanak (CV) Oakdale Golf and Country Club, Kathy Magrino (RV) El Macero Country Club, Laura McAllister (RV) Rancho Murietta Country Club and Rita Smiley Crow Canyon Country Club.

Acting Secretary, Mary-Kevin reported that she has not received any further nominations. A motion was made by Joan Oakley of Round Hill Country Club to accept the list of candidates named to be Directors of the Association. The motion was seconded by Chris Martin of Brookside Country Club. The motion passed. Lauren welcomed the new Directors to the WNHGA Board.

SPECIAL AWARD:
Judi gave a Certificate of Appreciation to Valley Hi Country Club for hosting the Corena Green Classic for Junior Girls. Alyce’s presented a Certificate of Appreciation to Sequoyah Country Club for hosting The Team Play Championship. Nancy Bircher presented a Certificate of Appreciation to Peninsula Country Club for hosting the Tournament of Champions. Kathy Magrino gave a special prize, a ball marker, to Mona Stolz of Lake of the Pines, who was the only member to attend all five Open Days.

RECOGNITION OF OUTGOING DIRECTORS:
Lauren recognized and thanked the ladies who are not returning to the Board: Shelly Hanak, Kathy Magrino, Laura McAllister and Rita Smiley. She presented each with a plaque.

INTRODUCTION OF 2022 WNHGA BOARD OF DIRECTORS:
Lauren Dummer (RV – Representing P) Lake of the Pines, will be returning to a second year as WNHGA President. She introduced the new Board members and their assignments:

In accordance with our bylaws, Article 6, Section 5, The President may appoint a member or members to fill Director vacancies at any time. This appointment should not conflict with the term limits of past Directors. A director may not serve more than two consecutive terms either as an appointed Director or as an elected Director. Lauren announced the appointment of Nancy Bircher of Crow Canyon Country Club, representing East Bay.

Lauren urged anyone in the East Bay or Peninsula areas who would like to join the Board to please step forward and join us at any time during the year. We look forward to having additional representation from these two areas now or in the future.

The meeting was adjourned at 12:05 pm. The next Annual Meeting will be on December 2, 2022 at Almaden Country Club.
